DealerOnSteroids LLC ("DealerOnSteroids," "we," "us," or "our") values the trust of our Users and strives to provide secure, reliable, and legally compliant services. These Terms of Service ("Terms") govern your use of the DealerOnSteroids Platform, including all web, desktop, and mobile applications, AI tools, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. DEFINITIONS

Platform: The suite of software, applications, and services offered by DealerOnSteroids, including but not limited to AI-powered chatbots, CRM tools, inventory management, marketplace integrations, video and content marketing, analytics dashboards, and related services.
User: Any individual, corporation, or entity who accesses or uses the Platform.
Service: Access, operation, and utilization of the Platform and associated features.
Personal Information: Any information that identifies or could reasonably be linked to a User. Collection and use of Personal Information are governed by our separate Privacy Policy.
Content: Any text, images, videos, audio, data, or other materials submitted, posted, uploaded, or transmitted via the Platform.

2. ACCEPTANCE OF TERMS

By accessing or using the Platform, you confirm that:

You have the authority to bind yourself or your organization to these Terms.
You understand and accept that your continued use of the Platform constitutes your agreement to these Terms, including any future modifications.
You agree to comply with all applicable local, state, and federal laws while using the Platform.

3. SUBSCRIPTION, BILLING, AND PAYMENT TERMS

Subscription & Fees: Access to the Platform may require payment of subscription fees, usage-based fees, or a combination thereof. All fees are non-refundable, except as required by law.
Billing Authorization: By providing payment information, you authorize DealerOnSteroids to charge your account for all fees incurred, including applicable taxes.
Pricing Changes: DealerOnSteroids reserves the right to adjust subscription plans, pricing, or service levels with reasonable prior notice via email. Continued use constitutes acceptance of new fees.
Failed Payments: Non-payment may result in temporary suspension or permanent termination of your account. Users are responsible for maintaining current and accurate payment methods.
Taxes: Users are responsible for any federal, state, or local taxes imposed on their use of the Platform. DealerOnSteroids may collect taxes where legally required.

4. USER ACCOUNT AND SECURITY

Account Responsibility: You are responsible for maintaining the confidentiality of account credentials and all activity under your account.
Unauthorized Access: Notify DealerOnSteroids immediately at contact@dealeronsteroids.com of any suspected unauthorized access or security breach.
Termination: DealerOnSteroids reserves the right to suspend or terminate accounts at its discretion for violation of these Terms, misuse of the Platform, or at any time in the interest of safety or security.

5. USER CONDUCT

Users agree to:

Use the Platform only for lawful purposes.
Not post or transmit unlawful, defamatory, obscene, threatening, or otherwise objectionable content.
Not infringe third-party intellectual property or privacy rights.
Avoid spam, unsolicited promotions, or commercial solicitations without authorization.
Refrain from attempting to disrupt the Platform or interfere with other Users.

DealerOnSteroids may remove content or restrict accounts at its discretion.

6. THIRD-PARTY SERVICES AND INTEGRATIONS

The Platform may integrate with third-party services (e.g., social media platforms, marketplaces, analytics providers).
You agree to comply with all applicable third-party terms and policies.
DealerOnSteroids is not responsible for the availability, policies, or content of third-party services.
Any actions taken through integrations (e.g., automated posting, ad campaigns) are your responsibility.

7. SERVICE CATEGORIES AND SPECIFIC TERMS

7.1 Digital Content & Marketing Tools

Limitation of Liability: DealerOnSteroids is not responsible for inaccuracies, omissions, or defects in content created using the Platform, including images, videos, and AI-generated media.
User Responsibility: Users must verify all outputs before publication and ensure compliance with applicable laws and platform rules.

7.2 AI Tools

Includes AI Chatbot, Price Advisor, Web Capture, and AI Sales Coach.
Limitation of Liability: AI outputs are for informational purposes only and do not constitute professional advice. DealerOnSteroids is not responsible for errors, omissions, or reliance on AI-generated content.
User Responsibility: Users must verify information before acting or sharing with customers.

7.3 Social Media Automation

Includes automated posting, Marketplace Auto-Post, and ad campaigns.
Limitation of Liability: DealerOnSteroids is not liable for restrictions, suspensions, or bans imposed by third-party platforms.
User Responsibility: Users must comply with platform policies and maintain authorized accounts.

7.4 Paid Advertising

Includes Google Ads, Meta Ads, TikTok Ads, and others.
Limitation of Liability: DealerOnSteroids does not guarantee campaign performance or ROI. Users are responsible for budgets, targeting, and compliance with advertising platform rules.

7.5 Local SEO & Inventory Tools

Includes Virtual Showroom, Google Business Profile, and Reputation Management.
Limitation of Liability: DealerOnSteroids makes no guarantees regarding rankings, visibility, or business impact. Users are responsible for accurate listings and reputation management.

8. COOKIES AND DATA COLLECTION

DealerOnSteroids may use cookies and similar technologies to improve your experience.
By using the Platform, you consent to collection and use of cookies as described in our Privacy Policy.
You may adjust your browser settings to decline cookies, though some Platform features may not function properly.

9. DATA PRIVACY AND SECURITY

DealerOnSteroids handles Personal Information in accordance with our separate Privacy Policy.
Users may request access, correction, or deletion of personal information by contacting contact@dealeronsteroids.com.
In the event of a data breach, Users will be notified at the earliest reasonable opportunity.

10. COMPLIANCE WITH LAWS

Users are responsible for ensuring compliance with all applicable U.S., New Mexico, and local laws.
DealerOnSteroids complies with all relevant privacy and consumer protection regulations.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless DealerOnSteroids, its affiliates, officers, directors, and employees from claims, losses, damages, liabilities, costs, and expenses arising from:

Your use of the Platform;
Violation of these Terms;
Alleged infringement or unlawful use of third-party rights.

12. WARRANTIES, DISCLAIMERS, AND LIMITATION OF LIABILITY

The Platform is provided "as is" and "as available."
DealerOnSteroids disclaims all warranties, express or implied, including fitness for a particular purpose or merchantability.
DealerOnSteroids is not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, profits, or reputation.
Aggregate liability shall not exceed the fees paid to DealerOnSteroids for the affected service in the prior 12 months.
Certain liabilities, such as death or personal injury caused by negligence, cannot be excluded under law.

13. TERMINATION

DealerOnSteroids may terminate or suspend access to the Platform at its discretion for:

Violation of these Terms;
Misuse of the Platform;
Security or operational concerns.

14. MODIFICATIONS TO TERMS

DealerOnSteroids reserves the right to modify these Terms at any time. Users will be notified via email for material changes. Continued use of the Platform constitutes acceptance of revised Terms.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of New Mexico, without regard to conflicts of law principles.
Any disputes will be resolved in the courts of Bernalillo County, New Mexico.

16. SEVERABILITY AND ENTIRE AGREEMENT

If any provision is found unenforceable, the remaining provisions remain in full effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and DealerOnSteroids regarding the Platform.
